If the Software and any related documentation are being acquired by or on behalf of the US Government, then, as provided in FAR 12.212 and DFARS 227.7202-1 through 227.7202-4, as applicable, the US Government’s rights in the Software and any such documentation will be only those specified in this EULA. 9 Export Control You agree to comply fully with all U.S. and foreign export laws and regulations to ensure that neither the Software nor any technical data related thereto nor any direct product thereof is exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations. By using the Software, you represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. 10 General This EULA will be governed by and construed in accordance with the laws of the State of California, without regard to or application of conflict of laws rules or principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply. The sole and exclusive jurisdiction and venue for any legal action or proceeding arising under this EULA shall be the state and federal courts in San Mateo County, California, and the parties hereby consent to the person jurisdiction and venue therein. Notwithstanding the foregoing, GoPro may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or as otherwise required to prevent irreparable harm. You may not assign or transfer this EULA or any rights granted hereunder, by operation of law or otherwise, without GoPro’s prior written consent, and any attempt by you to do so, without such consent, will be void. GoPro expressly reserves the right to freely assign this EULA and to delegate any of its obligations hereunder. Except as expressly set forth in this EULA, the exercise by either party of any of its remedies under this EULA will be without prejudice to its other remedies under this EULA or otherwise. All notices or approvals required or permitted under this EULA will be in writing and delivered by overnight delivery service, by email or by certified mail, and in each instance will be deemed given upon receipt. All notices or approvals will be sent to such other address as may be specified by either party to the other in accordance with this section. The failure by either party to enforce any provision of this EULA will not constitute a waiver of future enforcement of that or any other provision. GoPro reserves the right to modify this EULA and will give you reasonable notice of any material changes. Your continued use of the Software after such notice will indicate your consent to any such changes. If any provision of this EULA is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.
